Terms of use
These terms govern access to Servio’s website and use of the Servio platform. By accessing or using the service, you accept these terms. If you do not agree, do not use the service.
1. Acceptance of terms
By creating an account, requesting a trial, browsing the site, or using the platform, you confirm that you have the legal capacity to contract for your organization and accept these terms on its behalf. If you use Servio on behalf of a restaurant, retail store, or group, you represent that you are authorized to bind that establishment.
2. Description of the service
Servio is a cloud (SaaS) point-of-sale (POS) platform for restaurants and retail businesses, with optional management modules. Depending on your plan and configuration, the service may include registers and POS administration, scheduling and workforce management, operational audits and controls, inventory and purchasing, employee management, productivity and cost analysis, forecasting, reporting, alerts, AI-assisted recommendations, communications, and related tools. Servio is not a law firm, accounting firm, HR consultancy, food safety consultant, or financial advisor. The service provides tools and information; you remain responsible for legal, financial, operational, staffing, food safety, and business decisions.
3. Account responsibilities
You must provide accurate information at signup and keep it current. You are responsible for safeguarding credentials and all activity under your account. You must limit access to authorized people, promptly revoke access for former employees, and notify us without delay if you suspect unauthorized use.
4. Customer data ownership
Subject to Servio’s rights in the platform, you retain ownership of your operational data entered or imported into Servio (inventory, schedules, audits, costs, notes, etc.). Servio owns all rights in the software, interface, brand, documentation, models, algorithms, and platform intellectual property. No assignment of those rights is granted except a limited use license during your subscription.
5. Acceptable use
You agree to use Servio lawfully and in accordance with these terms. You must not, among other things: - Attempt unauthorized access to systems, accounts, or data. - Transmit malware or disrupt the service. - Use the service to harass, unlawfully discriminate, or infringe others’ rights. - Scrape or massively reuse platform data without written permission. - Bypass technical, security, or contractual limits. Servio may suspend or restrict access for serious or repeated violations.
6. Service availability
We aim for a reliable platform but do not guarantee uninterrupted, error-free service suited to every specific situation. Interruptions may occur for maintenance, updates, technical incidents, or circumstances beyond our reasonable control. We may schedule maintenance windows and, when possible, provide advance notice.
7. AI features, forecasts, and recommendations
Some features may produce forecasts, alerts, analytics, or AI-assisted recommendations. These are provided for informational purposes only. Forecasts may be inaccurate or incomplete. Managers and owners remain solely responsible for decisions on scheduling, purchasing, staffing, compliance, and operations. You must exercise professional judgment before acting on any recommendation shown in Servio.
8. Limitation of liability
To the extent permitted by applicable law, Servio, its officers, employees, and suppliers shall not be liable for indirect, special, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from or related to use or inability to use the service. Servio’s total liability for any claim related to the service over a twelve (12) month period is limited to amounts you paid Servio for the service during that period, unless mandatory law provides otherwise. Some jurisdictions do not allow certain limitations; in that case, limitations apply to the maximum extent permitted.
9. Disclaimer of warranties
The service is provided “as is” and “as available,” without express or implied warranties of merchantability, fitness for a particular purpose, non-infringement, or specific business results. We do not warrant that displayed data, calculations, reports, or recommendations will be error-free or compliant with all regulatory obligations applicable to your establishment.
10. Data backup and recovery
Servio maintains reasonable backup and continuity practices but does not guarantee full recovery of all data in all circumstances. You remain responsible for maintaining your own copies or exports when needed for internal, tax, or operational obligations.
11. Third-party services and integrations
The service may interact with third-party tools or services (email, hosting, analytics, etc.). Servio is not responsible for third-party practices, availability, or content. Your use of external services may be subject to their own terms.
12. Fees and subscriptions
Access to certain features may require a paid subscription. Pricing, billing, commitment period, and payment terms are set out in your commercial proposal, order form, or contractual agreement. Unless stated otherwise, fees are non-refundable once the committed period has started, subject to mandatory rights under applicable law. Failure to pay may result in service suspension.
13. Suspension and termination
You may stop using the service according to your agreement terms. Servio may suspend or terminate access for non-payment, breach of these terms, security risk, or request by a competent authority. After termination, access to data may be limited or deleted according to applicable retention policy and legal obligations.
14. Modifications to the service
Servio may evolve, modify, add, or remove features to improve the platform or meet technical or legal requirements. We strive to limit major operational impact but do not guarantee that the service will never change.
15. Intellectual property
All elements of the Servio platform (software, design, text, trademarks, logos, documentation) are protected by applicable intellectual property laws. Unauthorized reproduction, reverse engineering, or exploitation is prohibited. You grant Servio a limited license to host, process, and display your data to provide the service.
16. Governing law and jurisdiction
These terms are governed by the laws of the Province of Quebec and applicable federal laws of Canada, without regard to conflict-of-law rules. Subject to mandatory consumer rights where applicable, disputes relating to the service shall be submitted to the courts of the judicial district of Montreal, Quebec, unless the parties agree otherwise in writing.
